1. Acceptance of Terms
By accessing or using Power CM Software websites, applications or services, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the services.
These Terms apply to Power CM Software products and related services, including current and future products such as Flytivy AI Workspace, Flytivy AI Planner, Flytivy Knowledge Vault, Product Passport Base, PDF PowerKit, billing portals, landing pages and support channels.
2. Our Services
Power CM Software provides productivity, AI-assisted organization, planning, knowledge management, automation, document, prompt and workflow tools. Some features are local-first and run on your device. Other features may require an account, internet connection, cloud infrastructure, third-party integrations or an active subscription.
We may add, change, suspend or discontinue features at any time. We aim to avoid disrupting paid users, but we cannot guarantee that every feature will always remain available in the same form.
3. Accounts and Sign-In
You may need an account to use cloud-connected features, subscriptions, AI search, sync, account limits or billing. You are responsible for keeping your login credentials secure and for activity under your account.
If you sign in with Google or another provider, you authorize us to use the account information needed to authenticate you and provide the service. You must provide accurate information and keep it up to date.
4. Plans, Subscriptions and Billing
Some services are free, limited, paid, subscription-based or usage-based. Plan limits, prices and included features may vary by product and may be shown in the app, checkout page or billing portal.
Payments and subscriptions may be processed by Stripe. By purchasing a subscription, you authorize the payment method to be charged according to the selected plan. Unless stated otherwise at checkout or required by law, fees are non-refundable once a billing period begins.
You may cancel or manage your subscription through the available billing portal or support channel. Cancellation generally stops future renewals but does not automatically refund the current billing period unless required by law or expressly stated.
5. User Content and AI Outputs
You retain ownership of content you submit, upload or create in our products. You grant Power CM Software the limited rights needed to operate, secure, store, transmit, process and display that content for the purpose of providing the services you use.
AI-assisted features may generate outputs based on your inputs, model behavior, third-party providers or local processing. AI outputs can be inaccurate, incomplete or unsuitable for certain uses. You are responsible for reviewing outputs before relying on them, publishing them, using them commercially or making decisions based on them.
Do not submit content that you do not have the right to use, or content that violates laws, privacy rights, intellectual property rights or these Terms.
6. Acceptable Use
You agree not to misuse the services. You may not:
- Use the services for unlawful, harmful, deceptive, abusive or fraudulent activity.
- Attempt to disrupt, reverse engineer, overload, scrape or gain unauthorized access to the services.
- Bypass plan limits, security controls, subscriptions, authentication or usage restrictions.
- Upload malware or content designed to harm systems, users or data.
- Use the services to violate privacy, intellectual property or other rights.
- Represent AI-generated content as human-created where disclosure is legally or ethically required.
7. Third-Party Services
Our services may integrate with third-party providers such as Google, Supabase, Stripe, hosting providers, AI providers, analytics tools, email services and operating system platforms. Third-party services are governed by their own terms and privacy policies.
We are not responsible for third-party services, outages, policy changes or processing outside our control.
8. Intellectual Property
Power CM Software, our product names, interfaces, designs, logos, software, documentation and related materials are owned by Power CM Software or its licensors and are protected by applicable intellectual property laws.
These Terms do not grant you ownership of our software or brand assets. You may use the services only as permitted by these Terms, product documentation, license terms or applicable law.
9. Privacy
Our Privacy Policy explains how we collect, use and protect information. By using the services, you acknowledge that information will be handled according to that policy.
10. Disclaimers
The services are provided "as is" and "as available" without warranties of any kind, to the fullest extent permitted by law. We do not guarantee that the services will be uninterrupted, error-free, secure, accurate or fit for every specific purpose.
AI-assisted features are not a substitute for professional advice. Do not rely on them as the sole basis for legal, medical, financial, safety-critical or other high-impact decisions.
11. Limitation of Liability
To the fullest extent permitted by law, Power CM Software will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, data, goodwill or business opportunities arising from or related to your use of the services.
Where liability cannot be excluded, our total liability will be limited to the amount you paid for the relevant service during the three months before the event giving rise to the claim, unless applicable law requires otherwise.
12. Suspension and Termination
We may suspend or terminate access if you violate these Terms, misuse the services, create risk for other users or fail to pay required fees. You may stop using the services at any time. Some account, billing or legal records may be retained as described in our Privacy Policy.
13. Changes to These Terms
We may update these Terms from time to time. When changes are material, we will update the effective date and, where appropriate, provide notice through the website, product interface or email. Continued use after changes become effective means you accept the updated Terms.
14. Governing Law
These Terms are governed by the laws applicable to Power CM Software's place of business, unless consumer protection laws in your location require otherwise. If a dispute arises, the parties agree to first attempt to resolve it in good faith by contacting support@powercm-software.com.
