Flytivy AI Download Manager Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of Flytivy AI Download Manager, including the Windows application, website, authentication flows, billing flows, Cloud AI features, and related services (the "Service"). The Service is provided by Power CM Software ("Power CM", "we", "us", or "our").

By downloading, installing, accessing, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. What Flytivy Does

Flytivy AI Download Manager helps users review and organize files in their Windows Downloads folder. The app may scan local file metadata, identify categories such as invoices, contracts, images, installers, archives, and duplicate candidates, and suggest manual cleanup actions. The app is designed around review and approval before changes are made.

3. Accounts and Authentication

Some features require an account, including Cloud AI, synced rules, saved searches, telemetry sync, paid subscriptions, and billing management. You may sign in with email/password or supported OAuth providers such as Google. You are responsible for maintaining the security of your account and for all activity under your account.

4. Local Files and User Responsibility

Flytivy provides recommendations and workflow assistance. You remain responsible for deciding whether to move, rename, archive, delete, upload, or otherwise process files. You should review recommendations before approving any file operation and maintain your own backups of important files.

Flytivy is not a backup service, legal record system, tax system, document retention system, or guaranteed duplicate-removal tool.

5. Cloud AI and Automated Suggestions

Cloud AI features may use third-party AI providers to answer file-organization questions or assist with classification. AI output may be incomplete, inaccurate, or unsuitable for your situation. You must independently review AI suggestions before relying on them.

Cloud AI is optional and should be used only after you enable the relevant privacy setting. Flytivy is configured to send limited metadata by default, not full file contents, unless a future feature obtains explicit approval for additional content.

6. Subscriptions, Payments, and Billing

Paid plans may be offered through Stripe Checkout and managed through the Stripe customer portal. Prices, features, limits, and billing intervals may vary by plan and may change over time. Taxes may apply.

Unless otherwise stated at checkout, subscriptions renew automatically until canceled. You can manage or cancel a subscription through the billing portal when available. Refunds are provided only where required by law or expressly stated by Power CM.

7. Acceptable Use

You agree not to:

• Use the Service for unlawful, harmful, deceptive, or abusive activity.
• Attempt to reverse engineer, bypass, disable, or interfere with security, authentication, billing, or usage limits.
• Upload or submit content you do not have the right to process.
• Use the Service to distribute malware, spam, or harmful files.
• Overload, disrupt, scrape, or attack the Service or its infrastructure.
• Misrepresent your identity, affiliation, plan status, or authorization.

8. Your Content and Data

You retain ownership of your files and content. You grant us the limited rights necessary to operate the Service, including processing account data, settings, telemetry, subscription data, saved searches, synced rules, and optional Cloud AI metadata as described in the Privacy Policy.

9. Intellectual Property

The Service, including software, design, branding, website content, workflows, and related materials, is owned by Power CM Software or its licensors and is protected by intellectual property laws. These Terms do not grant you ownership of the Service.

10. Third-Party Services

The Service may rely on third-party services such as Supabase, Google OAuth, Stripe, OpenAI, and hosting or infrastructure providers. Your use of third-party features may be subject to their own terms and privacy policies. We are not responsible for third-party services outside our control.

11. Availability and Changes

We may modify, suspend, discontinue, or limit parts of the Service at any time. We may also update features, pricing, limits, supported providers, or system requirements. We try to keep the Service reliable, but we do not guarantee uninterrupted or error-free operation.

12. Termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms, create risk for other users or the Service, fail to pay applicable fees, or use the Service unlawfully or abusively.

13. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted operation.

14. Limitation of Liability

To the maximum extent permitted by law, Power CM Software will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, files, business, goodwill, or anticipated savings. Our total liability for claims related to the Service will not exceed the amount you paid to us for the Service in the three months before the event giving rise to the claim, or 50 EUR if you have not paid us.

15. Indemnity

You agree to defend, indemnify, and hold harmless Power CM Software from claims, damages, liabilities, losses, and expenses arising from your misuse of the Service, violation of these Terms, violation of law, or infringement of third-party rights.

16. Governing Law

These Terms are governed by the laws applicable to Power CM Software's principal place of business, without regard to conflict-of-law rules. If mandatory consumer protection laws in your country provide additional rights, those rights are not limited by these Terms.

17. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will update the date above and may provide additional notice through the website or app. Continued use of the Service after changes become effective means you accept the updated Terms.
